1. Acceptance of Terms

By accessing or using SellerRelay ("the Service"), operated by Dalegas Ventures LLC ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

SellerRelay is a SaaS platform that delivers AI-powered operational insights for Amazon sellers through Slack integration. The Service connects to your Amazon Seller Central account via the Amazon Selling Partner API (SP-API) and delivers data, analytics, and alerts to your Slack workspace.

3. Account Registration

To use SellerRelay, you must create an account by providing a valid email address. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activity that occurs under your account
  • Ensuring that the information you provide is accurate and current
  • Notifying us immediately of any unauthorized use of your account

4. Third-Party Integrations

4.1 Amazon Selling Partner API

By connecting your Amazon Seller Central account, you authorize SellerRelay to access your seller data through Amazon's Selling Partner API (SP-API) solely for the purpose of supporting your business with Amazon. You represent that you have the authority to grant this access and that you are an authorized user in good standing of the applicable Amazon services.

Our use of Amazon data is governed by Amazon's Acceptable Use Policy, Data Protection Policy, and Solution Provider Portal Agreement. Amazon data accessed through the SP-API will only be used for the delivery and operation of the SellerRelay service on your behalf, and will not be used for any other purpose. We will not share Amazon data with any third party except as necessary to operate the service, and any such third party will be bound by equivalent data protection obligations.

4.2 Slack

By installing SellerRelay in your Slack workspace, you authorize us to post messages, respond to commands, and deliver alerts within your designated channels. Your use of Slack is subject to Slack's own terms of service.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
  • Attempt to gain unauthorized access to the Service, other accounts, or our systems
  • Interfere with or disrupt the Service or the servers and networks connected to it
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to scrape, collect, or harvest Amazon data in violation of Amazon's policies
  • Share your account credentials with unauthorized third parties
  • Resell, sublicense, or redistribute access to the Service without our written consent
  • Use the Service in a way that could damage, disable, or impair its functionality

6. Pricing and Payment

SellerRelay offers multiple subscription tiers. Current pricing is available at sellerrelay.com/pricing. By subscribing to a paid plan:

  • You agree to pay the applicable fees for your selected plan
  • Fees are billed in advance on a monthly basis unless otherwise stated
  • You may upgrade or downgrade your plan at any time; changes take effect on your next billing cycle
  • We reserve the right to change pricing with 30 days' notice

7. Cancellation

You may cancel your subscription at any time from your dashboard. Upon cancellation:

  • Your access to paid features will continue until the end of your current billing period
  • No refunds will be issued for partial billing periods
  • Your data will be retained for 30 days after cancellation, after which it will be deleted

8. Intellectual Property

The Service, including its design, code, features, and content, is owned by SellerRelay and protected by applicable intellectual property laws. You retain ownership of your Amazon seller data. By using the Service, you grant us a limited license to process your data solely to provide the Service.

9. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that:

  • The Service will be uninterrupted, timely, secure, or error-free
  • The data provided through the Service will be accurate or complete
  • The Service will meet your specific requirements

SellerRelay is an independent third-party service provider and is not affiliated with, endorsed by, or sponsored by Amazon.com, Inc. or any of its affiliates. Nothing in our service, website, or marketing materials should be interpreted as implying a partnership, sponsorship, or endorsement by Amazon. Amazon, Seller Central, Fulfillment by Amazon (FBA), and related marks are trademarks of Amazon.com, Inc. or its affiliates.

11. Limitation of Liability

To the maximum extent permitted by law, SellerRelay shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of or inability to use the Service.

Our total liability for any claims arising from the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless SellerRelay and its officers, directors, and employees from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

13. Termination

We may suspend or terminate your access to the Service at any time if you violate these Terms or for any other reason with reasonable notice. Upon termination:

  • Your right to use the Service ceases immediately
  • We will delete your data within 30 days, unless retention is required by law
  • Sections of these Terms that by their nature should survive (including limitation of liability, indemnification, and intellectual property) will remain in effect

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the updated Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to conflict of law principles.
